Ticket size, documentation and the debtor's solvency decide the forum. A practical comparison for finance teams.
The question is leverage, not anger
Both routes can end in payment. They differ in what they threaten, how much they cost, and how quickly the debtor feels pressure.
When a summary suit fits
Order XXXVII of the Code of Civil Procedure suits debts founded on a written contract, a bill of exchange or a written acknowledgement. The defendant cannot defend as of right; leave to defend must be sought, and where the defence is illusory, leave is refused and a decree follows.
Choose it where the debtor is solvent and simply slow, where the paperwork is clean, and where the dispute is genuinely only about the money.
When an IBC petition fits
An operational creditor may issue a Section 8 demand notice and, if unpaid, file a Section 9 petition before the NCLT, provided the default crosses the statutory threshold of one crore rupees. Admission places the company under a resolution professional and a moratorium — an outcome most promoters will pay to avoid.
The critical filter is pre-existing dispute. If the debtor raised a genuine quality or quantity dispute before the demand notice, the petition will be rejected and you will have spent months to reach the civil court anyway.
A short decision table
Debt under the threshold, clean documents, solvent debtor: summary suit. Debt above the threshold, undisputed, debtor under financial strain: IBC. Dishonoured cheque available: run Section 138 alongside either, as the criminal exposure often settles the matter first. Contract carries an arbitration clause: invoke it, and consider Section 9 interim relief to secure assets.
